Board/CEO Relationship

The Board of Governors has delegated most of its responsibilities for the day-to-day operation and administration of the University to the President of the University. The President is the Chief Executive Officer of the University and has the responsibility for implementing the policies enacted by the Board of Governors.

The delegation of such significant authority to the President/CEO raises several other important considerations:

  1. The selection, evaluation, support and, if necessary, the termination of the President is of great importance to the Board of Governors, because responsibility for the administration of the University is vested in the President. Therefore, a Board has the duty to pay particular attention to monitoring and supporting the Office of the President.
  2. The development and maintenance of communication with the President. While the policies establishing the responsibilities of the President call for reporting by the President, it is important that the Board ensure that a high level of two-way communication is established with its Chief Executive Officer.
  3. Once the Board has delegated to the President these responsibilities and authorities, it is a duty and obligation of the Board to allow the President to carry out those responsibilities, and assist the President in those duties. The Board should not interfere in the conduct of the responsibilities vested by the Board in the President.

The delegation of these responsibilities to the President/CEO raises an important duty on the part of the Board to demand and receive reports of the President, as to the conduct of and compliance with Board policies.
